1. Agreement

These Terms and Conditions constitute the full agreement between you (the client) and Digitize Growth (the agency) for the provision of web design, web development, branding, e-commerce, and related digital services.

Where a separate written project proposal or contract has been issued and signed — that document takes precedence over these general terms.

These terms are governed by the laws of Bangladesh and comply with applicable provisions of GDPR (EU) 2016/679 and UK GDPR where clients are based in the EU or UK.

2. Services

Digitize Growth provides the following services:

    • Luxury Real Estate Website Design

    • Custom Website Design & Development

    • Branding & Visual Identity Design

    • Website Redesign Services

    • E-Commerce Website Design & Development

    • Website Maintenance & Support

The specific scope of services for your project will be confirmed in a written proposal before any work begins. No work commences until scope, price, and timeline are agreed.

3. Pricing and Payment

All prices are quoted in US Dollars (USD) unless otherwise agreed in writing.

Standard payment structure:

    • 50% deposit — due before work begins

    • 50% final payment — due on launch day after your final approval

Accepted payment methods: Stripe • Wise • PayPal

Work will not begin until the deposit has been received and confirmed in writing.

The final 50% is due before the completed website is transferred to your hosting environment. If the final payment is not received within 14 days of the agreed launch date — Digitize Growth reserves the right to suspend delivery of the project.

All payments are processed by third-party payment providers. We do not store credit card or bank account details directly. Payment processing is subject to the privacy policies of the respective providers (Stripe, Wise, PayPal).

4. Project Process and Timeline

A written timeline is provided for every project before work begins.

Standard timeline: 14 calendar days from the point all required content and assets have been received from the client.

Delays caused by late client feedback, missing assets, or client unresponsiveness may result in timeline extensions. Digitize Growth is not liable for delays caused by the client.

If a project is inactive for more than 30 days due to lack of client response — we reserve the right to archive the project. Reactivation will be subject to team availability and may incur an additional administration fee.

5. Revisions

Every project includes:

    • Two rounds of revisions at the design stage

    • Two rounds of revisions at the development stage

Unless otherwise stated in the project proposal.

A revision means changes to existing agreed designs or content. New pages, features, or significant scope changes requested after the project has begun will be quoted separately at our standard rate.

Revision requests must be submitted in writing via email or our project management channel.

6. Website Ownership

Upon receipt of the final payment in full — the client owns 100% of the completed website including all files, code, and content created specifically for that project.

WordPress websites are delivered with full admin credentials and are not locked to any Digitize Growth platform or subscription.

Third-party assets — including premium plugins, stock photography, and licensed fonts — are subject to their own individual licensing terms and remain the property of their respective rights holders.

7. Client Responsibilities

The client is responsible for:

    • Providing all required content, images, logos, and brand assets in a timely manner

    • Responding to design reviews within 3 business days to avoid timeline delays

    • Ensuring all content provided is accurate, lawful, and does not infringe any third-party intellectual property rights

    • Obtaining all necessary licences for content they supply (including photography and copy)

    • Ensuring all content submitted complies with applicable data protection laws — including GDPR where the client’s website will collect personal data from EU or UK visitors

    • Implementing a suitable privacy policy, cookie policy, and consent mechanism on their website before going live — particularly where the site will collect personal data from EU or UK users

    • Backing up their own website regularly after the project is handed over

8. Data Protection and GDPR

Where Digitize Growth processes personal data on behalf of the client in the course of delivering services — Digitize Growth acts as a data processor and the client acts as the data controller.

The client is responsible for:

    • Ensuring there is a lawful basis for any personal data they ask us to process

    • Ensuring their own website complies with GDPR, UK GDPR, or other applicable data protection laws

    • Notifying their own website visitors of how their data is collected and used

Digitize Growth commits to:

    • Processing client data only on the documented instructions of the client

    • Implementing appropriate technical and organisational security measures

    • Not engaging sub-processors without informing the client

    • Assisting the client in responding to data subject rights requests where possible

    • Deleting or returning client personal data upon completion of services

For EU and UK clients requiring a formal Data Processing Agreement (DPA) — please request one before the project begins:

9. Intellectual Property

All design concepts, mockups, wireframes, and creative work produced by Digitize Growth remain the intellectual property of Digitize Growth until the final payment has been received in full.

Upon full payment — all intellectual property rights in the custom deliverables transfer to the client, as described in Section 6.

Digitize Growth retains the right to display completed projects in its portfolio, case studies, and marketing materials — unless the client explicitly requests otherwise in writing before the project begins.

Any pre-existing intellectual property belonging to either party remains the property of that party.

10. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the project — including pricing, business strategy, client data, and unreleased designs.

This obligation continues for 24 months after the completion or termination of the project.

We will never share your project details, pricing, or personal information with third parties without your permission — except where required by law.

11. Limitation of Liability

To the fullest extent permitted by applicable law — Digitize Growth is not liable for:

    • Loss of revenue, data, profit, or business resulting from website downtime, technical errors, or third-party service failures

    • Specific SEO rankings or traffic outcomes — we provide on-page SEO setup but cannot guarantee search engine results

    • The performance of third-party plugins, IDX providers, payment gateways, or hosting services

    • Any indirect, consequential, or special damages

    • Any breach of GDPR or data protection law caused by the client’s own website content, data collection practices, or failure to implement adequate privacy notices

Our total aggregate liability in any circumstance is limited to the total fees paid by the client for the specific project in question.

Nothing in these terms excludes liability for fraud, death, or personal injury caused by negligence.

12. Termination

Either party may terminate a project with written notice by email.

If the client terminates after work has begun:

    • The deposit is non-refundable

    • Work completed beyond the deposit value will be invoiced at $50 USD per hour

If Digitize Growth terminates due to client breach of these terms:

    • The deposit will be retained to cover work completed to that point

Satisfaction guarantee:

A full deposit refund is available if the client is not happy with the designs at the end of the design stage — before development has begun. This guarantee does not apply once development work has commenced.

Upon termination — each party will promptly return or destroy any confidential information belonging to the other party, and Digitize Growth will provide the client with all completed work files to that point.

13. Governing Law and Disputes

These Terms and Conditions are governed by the laws of Bangladesh.

We are committed to resolving any disputes fairly and professionally and will always attempt to reach an amicable resolution before any formal action is considered.

EU and UK clients retain the right to seek resolution through their local consumer protection or regulatory bodies where applicable under EU or UK law.

14. Changes to These Terms

We may update these Terms and Conditions from time to time. The most current version will always be available at digitizegrowth.com/terms-and-conditions/.

Continued engagement of our services after any update constitutes acceptance of the revised terms.
